Founders Fund-Backed N1 Acquires 01 Exchange to Challenge Crypto Exchange Leaders

N1, a Layer 1 blockchain supported by Founders Fund, has announced the acquisition of 01 Exchange, a decentralized derivatives platform originally built on N1’s trading infrastructure. The move signals N1’s ambition to compete directly with established cryptocurrency exchange giants.

01 Exchange, which was incubated within the N1 ecosystem, has processed over $3 billion in trading volume and attracted more than 25,000 users. Under the acquisition agreement, the exchange’s application layer, trading product, market structure expertise, and community will become part of N1’s broader network strategy.

Rather than relying primarily on independent third-party applications to drive ecosystem activity, N1 is bringing its infrastructure, liquidity, and flagship trading product under a single network. The company says this approach is designed to align product development, distribution, and network economics more closely while reducing the fragmentation that has historically existed across many Layer 1 ecosystems.

“01 Exchange has already shown what is possible on N1, and bringing it into the network lets us move faster, deepen liquidity, and deliver a more integrated trading experience,” said Dima Romanov, CEO and co-founder of N1. “With N1 2.0, our next version, we’re expanding that foundation across RFQ markets, vaults, equities, mobile, and other on-chain financial products. We believe vertically integrated networks will define the next generation of exchanges, and N1 is being built to lead that shift.”

The acquisition comes ahead of the N1 2.0 upgrade, the next major version of the network. The upgrade is planned to introduce deeper liquidity, request-for-quote (RFQ) markets, vaults, equities, and additional on-chain financial products. N1 also plans to launch native applications for iOS and Android, extending access to its trading infrastructure through a mobile experience.

Existing 01 Exchange users will not be required to migrate assets as part of the transition. The exchange will continue operating under the N1 brand, with the new version expected to be deployed without requiring any user migration. Points earned before the N1 launch will continue to be recognized.

The transaction is expected to close within the next six months, while the operational transition will begin immediately. The deal is expected to be structured entirely in equity and tokens.

  • PayEm Sold for $500K After Raising $247M: A Cautionary Fintech Tale

PayEm Sold for $500K After Raising $247M: A Cautionary Fintech Tale

Fintech startup PayEm has been acquired for just $500,000, despite having raised nearly $247 million in funding, marking one of the most dramatic valuation reversals in the sector. Top Group Software announced that its wholly owned subsidiary, Top Nippando, has completed the acquisition of all PayEm shares. The deal, finalized after being agreed upon in late June, reflects the recent turmoil in the fintech industry.

Founded in 2020 by Itamar Jobani and Omer Rimoch, PayEm built a SaaS platform for corporate expense management, control, and automation. Its comprehensive solution included corporate debit and credit card issuance and management, procurement process automation, multi-currency digital wallet management, and financial connectivity with complex enterprise ERP systems.

During the tech industry’s high-growth years, PayEm raised capital rapidly. In September 2021, it announced a $27 million Seed and Series A round led by Pitango, NFX, and Glilot Capital Partners. In early 2023, despite a market shift, the company announced another major $220 million funding round—comprising $20 million in equity and $200 million in credit lines from Viola Credit, Mitsubishi Group, and other partners to finance clients’ card usage.

However, PayEm faced serious financial challenges in recent years. Its audited 2025 financial records show a negative equity position: total assets of NIS 47.08 million ($15.8M) against liabilities of NIS 51.1 million ($17.1M). Revenue for that year was NIS 19.1 million ($6.4M), but the net loss reached NIS 17.1 million ($5.7M).

Under the acquisition agreement, all existing equity instruments and options will be canceled, and an aggressive efficiency drive started in 2026—including workforce reductions—will continue. These measures are expected to bring PayEm to operational break-even this year, even before considering potential synergies with Top Group and Top Nipendo. The buyer intends to fund the deal through internal resources or external financing, with a commitment to contribute up to an additional $3.5 million to reduce obligations and stabilize the company’s finances.

The acquisition highlights the volatility in the fintech startup ecosystem, where once-high-flying companies can see their valuations collapse amid shifting market conditions and operational challenges.

  • Persistent Systems Acquires Nagarro for $1.3 Billion in Landmark AI-Led Digital Engineering Deal

Persistent Systems Acquires Nagarro for $1.3 Billion in Landmark AI-Led Digital Engineering Deal

Persistent Systems has announced its largest-ever acquisition, agreeing to buy Germany-based digital engineering firm Nagarro for $1.3 billion in an all-cash deal. The transaction positions the combined entity as a $2.9 billion AI-led digital engineering powerhouse with a significantly expanded global footprint and enhanced enterprise capabilities.

The company has offered €81 per share for all outstanding Nagarro shares, representing a premium of approximately 140% over Nagarro’s undisturbed closing price on June 25 and around 94% over its three-month volume-weighted average price.

Creating a $2.9 Billion Technology Company

The acquisition will combine Persistent’s strengths in artificial intelligence, cloud computing, and software engineering with Nagarro’s expertise in digital engineering, enterprise resource planning (ERP), and customer experience. The Persistent-Nagarro Group is projected to generate annual revenues exceeding $2.8 billion and employ over 46,000 people across more than 40 countries.

This deal significantly boosts Persistent’s presence in Europe, where it currently generates only 9% of its revenue. Post-acquisition, the European contribution is expected to rise to 22%.

Industry experts view the acquisition as a strategic move into AI-driven business transformation. Nagarro brings deep expertise in AI, digital engineering, ERP, cloud computing, and customer experience, with strong relationships in manufacturing, banking, healthcare, telecom, and consumer sectors.

    Regulatory Process Underway

Persistent has already secured a commitment from Nagarro’s largest shareholder, which holds nearly 21% of the company. To close the deal, Persistent must obtain acceptance from at least 51% of Nagarro’s shareholders and receive regulatory approval from Germany’s BaFin. The transaction is expected to close during the fourth quarter of 2026 or the first quarter of 2027.

Following completion, Persistent plans to delist Nagarro from the Frankfurt Stock Exchange. Together, the combined companies will serve more than 350 enterprise clients and address a total addressable market exceeding $1.4 trillion.

By combining iMerit’s capabilities with EXL’s domain expertise and AI platforms, we are setting the standard for AI that is trusted, accountable and built to perform in the enterprise.”

iMerit brings two key assets to EXL: the Ango platform and the Scholars network. Ango enables sophisticated data interactions with generative AI models, supporting chain-of-thought reasoning, red teaming, and multimodal evaluations. Scholars expands EXL’s domain expertise through a global network of specialists—including physicians, scientists, engineers, linguists, and other subject matter experts—who provide human intelligence-driven feedback for reinforcement learning.

These offerings will be integrated with EXL’s agentic platforms to combine expert human judgment, model evaluation, and enterprise-scale execution. The acquisition also expands EXL into high-growth AI sectors such as high tech, mobility, autonomous systems, and physical AI, leveraging iMerit’s expertise across text, image, video, voice, and LiDAR data.

“We see EXL as an ideal leader in this defining moment for AI. We can build on our work with AI innovators and bring those insights to companies seeking to unlock their proprietary data,” said Radha Ramaswami Basu, CEO and founder of iMerit. “Both companies share a belief that specialized high-quality data is the foundation of AI success.
